Welcome to 3rd Space Dating.

These Terms & Conditions ("Terms") govern access to and use of the website located at https://3rdspacedating.com (the "Website"), including purchases of digital Supporter Badge products offered through the Website.

The Website is owned and operated by 3rdSpaceDating LLC, doing business as 3rd Space Dating ("3rd Space Dating," "Company," "we," "us," or "our").

By accessing or using the Website, creating or submitting information through the Website, or purchasing a Supporter Badge, you agree to these Terms. If you do not agree to these Terms, do not use the Website or purchase products from 3rd Space Dating.

1. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to purchase a Supporter Badge or use any portion of the Website that requires you to enter into a transaction with 3rd Space Dating.

By making a purchase, you represent that:

  • You are at least 18 years old;

  • The information you provide in connection with the purchase is accurate and complete;

  • You are authorized to use the payment method submitted; and

  • Your purchase and use of the Supporter Badge will comply with these Terms and applicable law.

3rd Space Dating may refuse, cancel, or limit an order where reasonably necessary to address suspected fraud, unauthorized payment activity, technical errors, violations of these Terms, or other unlawful activity.

If 3rd Space Dating cancels an order that has been paid for but not fulfilled, any amount properly owed back to the purchaser will be handled in accordance with the applicable Returns, Refunds & Cancellation Policy and applicable law.

2. Pre-Launch Status of 3rd Space Dating

3rd Space Dating is currently a pre-launch business and application concept.

The Website may contain descriptions, illustrations, prototypes, mockups, videos, concepts, proposed features, user-interface designs, roadmaps, demonstrations, or other materials relating to a possible future 3rd Space Dating application.

Unless expressly stated otherwise, these materials are provided to communicate the Company's current concepts and intentions and should not be interpreted as representations that a particular application, feature, design, service, functionality, launch date, or business plan currently exists or will necessarily be developed or released.

Features, designs, business models, timelines, pricing, branding, product plans, and other aspects of 3rd Space Dating may change during development.

3. Supporter Badges Are Digital Products

3rd Space Dating offers digital products referred to as Supporter Badges.

A Supporter Badge purchase is a purchase of the specific digital PNG badge file or files described in the applicable product listing and Supporter Badge Instructions & License Terms in effect for that purchase.

Supporter Badge purchases are not purchases of:

  • Physical merchandise;

  • Stock, securities, equity, or ownership in 3rdSpaceDating LLC;

  • An investment interest;

  • A loan to 3rd Space Dating;

  • A charitable donation;

  • A membership interest;

  • A subscription;

  • A crowdfunding investment;

  • Present or future access to the 3rd Space Dating application;

  • A guarantee that the application will be developed or launched;

  • A guarantee of any particular application feature;

  • A right to repayment or financial return; or

  • Any benefit not expressly included in the product purchased.

The term "Supporter" describes the branding of the digital product and does not create an ownership, investment, membership, fiduciary, partnership, agency, employment, or similar relationship between the purchaser and 3rd Space Dating.

4. No Guarantee of Future Application Development

Purchasing a Supporter Badge does not require 3rd Space Dating to develop, complete, release, operate, or maintain a dating application.

A purchase also does not guarantee:

  • A particular development schedule;

  • A particular launch date;

  • Any particular application feature;

  • Future app access;

  • Beta access;

  • Priority access;

  • Premium access;

  • A profile badge within a future application;

  • Membership status;

  • Subscription benefits;

  • Public recognition;

  • Voting rights;

  • Governance rights;

  • Ownership rights;

  • Revenue sharing;

  • Profit participation;

  • Repayment; or

  • Any other future benefit unless that benefit is expressly included in the applicable product description.

A properly delivered Supporter Badge purchase does not become refundable merely because the purchaser is dissatisfied with the future development, funding, timing, availability, design, launch, non-launch, features, or direction of 3rd Space Dating.

Nothing in this section limits any right or remedy that cannot lawfully be waived.

5. Use of Supporter Badge Sales Revenue

Payment for a Supporter Badge is consideration for the digital product purchased.

Once received by 3rd Space Dating, sales revenue may be used by the Company for any lawful business purpose in the Company's discretion, including, without limitation, operations, content production, marketing, equipment, professional services, technology, application development, administrative expenses, or other business activities.

A purchaser does not acquire any right to control, direct, audit, restrict, or receive an accounting of how the Company uses revenue from that purchaser's Supporter Badge purchase, except to the extent otherwise required by law.

6. Product Descriptions

3rd Space Dating will make reasonable efforts to describe Supporter Badge products accurately.

The specific digital files, personalization, license rights, and other features included in a purchase are determined by the applicable product listing, checkout information, order confirmation, and Supporter Badge Instructions & License Terms associated with that purchase.

Images displayed on the Website may be used to illustrate a product. Minor differences caused by display settings, image scaling, device characteristics, file previews, or similar technical factors do not necessarily constitute a product defect.

No feature, benefit, right, service, or item should be considered included with a Supporter Badge unless it is expressly identified as included in the applicable product offering.

7. Orders and Order Acceptance

Submitting an order constitutes an offer to purchase the product identified in the order.

3rd Space Dating may decline or cancel an order before fulfillment where reasonably necessary because of:

  • A pricing or product-listing error;

  • A technical malfunction;

  • Suspected fraud;

  • Unauthorized payment activity;

  • Invalid or incomplete purchaser information;

  • Inability to fulfill the order;

  • A violation of these Terms;

  • An attempted unauthorized personalization;

  • An attempted purchase for another person where transfers or gifting are prohibited; or

  • Another legitimate legal or operational reason.

If 3rd Space Dating cancels a paid order before fulfillment, the payment will be refunded where required under the Returns, Refunds & Cancellation Policy or applicable law.

8. Pricing and Payment

Prices for Supporter Badges are displayed through the applicable product listing or checkout process.

The purchaser authorizes 3rd Space Dating and its applicable payment-processing providers to charge the payment method submitted for the amount disclosed at checkout, together with any taxes or other charges that are properly disclosed and legally applicable.

Payment processing may be performed by third-party payment providers. Those providers may process payment information according to their own terms and privacy practices.

3rd Space Dating does not guarantee that every payment method will be available at all times.

If an obvious pricing, technical, or checkout error occurs, 3rd Space Dating may correct the error or cancel an unfulfilled transaction rather than fulfill an incorrectly priced order, subject to applicable law.

9. Taxes

Prices may be subject to applicable sales, use, transaction, or similar taxes.

Where 3rd Space Dating is legally required to collect a tax, the applicable amount may be added to the transaction or included in the displayed price as appropriate.

Purchasers remain responsible for any tax obligations imposed directly on them that 3rd Space Dating is not legally required to collect.

10. Digital Delivery

Supporter Badges are digital products. No physical product will be shipped unless a product listing expressly states otherwise.

A digital Supporter Badge is considered delivered when the applicable PNG file is made available to the purchaser through the delivery method disclosed on the product listing, checkout page, download page, order-confirmation message, email, or other applicable fulfillment method.

The purchaser is responsible for providing a working email address and accurate information necessary to complete delivery.

If a purchaser experiences a legitimate delivery problem, the purchaser should contact support@3rdspacedating.com so 3rd Space Dating can investigate and, where appropriate, restore access or provide the applicable file.

11. Tier 2 and Tier 3 Personalized Supporter Badges

Certain Tier 2 and Tier 3 Supporter Badge packages include a personalized digital PNG badge displaying the purchaser's approved full name.

The purchaser is responsible for submitting the correct spelling, capitalization, punctuation, and completeness of that name.

Only the purchaser's own approved full name may be used on a personalized Supporter Badge unless 3rd Space Dating expressly provides otherwise in writing.

The purchaser may not submit another person's name in an attempt to create a personalized badge for that person.

3rd Space Dating may request clarification or verification when reasonably necessary to complete the personalization.

Personalized badges are generally processed within the timeframe disclosed in the applicable product listing or Supporter Badge documentation. Where the current processing period is stated as 5 to 10 business days, that period begins after 3rd Space Dating receives the complete and usable information required to perform the personalization.

If required information is missing, incomplete, unusable, or requires clarification, processing may be delayed until complete and usable information is received.

The correction of personalization errors, purchaser-requested changes, and any applicable refunds are governed by the Returns, Refunds & Cancellation Policy and applicable Supporter Badge Instructions & License Terms.

12. Supporter Badges Are Not Gifts or Transferable Purchases

Supporter Badge products are licensed to the individual purchaser for that purchaser's own permitted use.

Unless 3rd Space Dating expressly states otherwise in writing, Supporter Badge purchases may not be:

  • Purchased as gifts for another person;

  • Personalized for another person;

  • Designated for another person;

  • Transferred to another person;

  • Resold;

  • Sublicensed; or

  • Used to provide another person with rights under the applicable Supporter Badge license.

For Tier 2 and Tier 3 personalized products, submitting another person's name does not create a right to receive a personalized badge for that person.

13. Multiple Purchases of the Same Supporter Badge

Purchasers may purchase the same Supporter Badge or Supporter Badge option more than once.

Each separately completed transaction is a separate purchase of the digital product identified in the applicable product listing.

Purchasing the same Supporter Badge more than once does not provide or create:

  • A different badge design;

  • An additional design;

  • A unique supporter number;

  • A unique edition;

  • Expanded license rights;

  • Additional personalization;

  • Exclusivity;

  • Priority;

  • Public recognition;

  • Present or future app access;

  • Ownership or investment rights;

  • Future benefits; or

  • Any other extra or special benefit.

Accordingly, digital files delivered through separate purchases may be identical.

A purchaser's voluntary decision to purchase the same product more than once is not, by itself, grounds for a refund after fulfillment.

This provision does not apply to a verified duplicate charge resulting from a payment-processing or technical billing error. Such issues will be handled under the Returns, Refunds & Cancellation Policy.

14. Returns, Refunds and Cancellations

Supporter Badge purchases are subject to the 3rd Space Dating Returns, Refunds & Cancellation Policy in effect for the applicable transaction.

Because Supporter Badges are digital products, there is no physical merchandise to return and no return-shipping requirement.

Digital-product purchases are generally final after the applicable digital content has been delivered or made available, except as provided in the Returns, Refunds & Cancellation Policy or where applicable law requires a cancellation, refund, replacement, correction, or other remedy.

Purchasers may have additional rights under the laws applicable to them. Nothing in these Terms or the Returns, Refunds & Cancellation Policy excludes or restricts a consumer right that cannot lawfully be excluded or waived.

15. Effect of a Full Refund

If 3rd Space Dating issues a full refund after a Supporter Badge has already been delivered, the license associated with the refunded purchase terminates unless applicable law requires otherwise.

The purchaser must then stop displaying, distributing, or otherwise using the digital badge obtained through the refunded purchase and must cease exercising rights granted solely through that purchase.

If the purchaser has separately purchased another valid license for the same badge, termination of the refunded purchase does not by itself terminate rights independently granted through the separate non-refunded purchase.

16. Supporter Badge License

Purchasing a Supporter Badge does not transfer ownership of 3rd Space Dating's trademarks, logos, artwork, designs, copyrights, or other intellectual property to the purchaser.

The purchaser instead receives the limited rights expressly described in the applicable Supporter Badge Instructions & License Terms.

Supporter Badge usage is therefore an express exception to the general Website-content restrictions contained in these Terms, but only to the extent permitted by the applicable Supporter Badge license.

Unless expressly authorized by the applicable license, a Supporter Badge may not be used in a way that falsely suggests:

  • Employment by 3rd Space Dating;

  • Partnership with 3rd Space Dating;

  • Sponsorship or endorsement by 3rd Space Dating;

  • Authority to act for 3rd Space Dating;

  • Ownership of 3rd Space Dating;

  • Investment status;

  • Membership status;

  • Official representative status; or

  • Any commercial affiliation that does not actually exist.

The complete permitted and prohibited uses of a Supporter Badge are governed by the applicable Supporter Badge Instructions & License Terms.

17. Website Intellectual Property

Unless otherwise stated, the Website and its content—including text, logos, graphics, artwork, photographs, videos, designs, user-interface concepts, icons, branding, downloadable materials, and other content—are owned by or licensed to 3rdSpaceDating LLC and are protected by applicable intellectual-property laws.

Subject to these Terms, 3rd Space Dating grants visitors a limited, revocable, non-exclusive, non-transferable right to access and use the Website for lawful personal purposes.

Except as expressly permitted by these Terms, an applicable Supporter Badge license, or written authorization from 3rd Space Dating, users may not:

  • Copy or republish Website content;

  • Sell, rent, sublicense, or commercially exploit Website content;

  • Reproduce or distribute Website content;

  • Modify Website content to create unauthorized derivative products;

  • Remove copyright, trademark, or proprietary notices;

  • Use 3rd Space Dating trademarks in a manner likely to cause confusion;

  • Represent themselves as affiliated with or endorsed by 3rd Space Dating when no such relationship exists; or

  • Use Website content in violation of applicable law.

Nothing in these Terms transfers ownership of any Company intellectual property.

18. Trademarks and Linking

The names 3rd Space Dating, 3rdSpaceDating LLC, associated logos, Supporter Badge artwork, and related branding may constitute trademarks, trade dress, copyrighted works, or other intellectual property belonging to the Company.

You may link to the Website without prior written permission provided that the link:

  • Is lawful;

  • Is not deceptive;

  • Does not falsely imply sponsorship, endorsement, partnership, or approval;

  • Does not misrepresent your relationship with 3rd Space Dating; and

  • Does not display Company content in a manner that infringes or misuses Company intellectual property.

Permission to link to the Website does not grant permission to use Company logos, Supporter Badges, or other artwork except as separately authorized.

3rd Space Dating may request removal of a link or unauthorized use where reasonably necessary to protect its rights or prevent confusion.

19. User Submissions, Messages and Feedback

The Website may allow users to submit messages, questions, feedback, survey responses, waitlist information, comments, or other content ("User Submissions").

You represent that any User Submission you provide:

  • Is information you are legally permitted to provide;

  • Does not violate another person's intellectual-property or privacy rights;

  • Is not fraudulent or intentionally misleading;

  • Does not contain unlawful material; and

  • Will not be used to interfere with the Website or engage in unlawful activity.

Unless otherwise stated, submitting feedback, suggestions, concepts, feature ideas, or similar non-confidential feedback does not require 3rd Space Dating to implement, compensate, or credit the person submitting it.

To the extent legally permitted, you grant 3rd Space Dating a non-exclusive, worldwide, royalty-free license to use, reproduce, adapt, and otherwise use voluntarily submitted feedback for legitimate business and development purposes.

This provision does not give 3rd Space Dating unrestricted rights to use personal information. Personal information remains subject to the applicable Privacy Policy and law.

20. Prohibited Uses

You may not use the Website to:

  • Violate applicable law;

  • Commit fraud or attempt unauthorized transactions;

  • Infringe intellectual-property, privacy, publicity, or other rights;

  • Upload malicious software or harmful code;

  • Attempt unauthorized access to the Website or related systems;

  • Scrape, harvest, or extract Website content or user data through unauthorized automated means;

  • Interfere with Website security or operation;

  • Impersonate another person or organization;

  • Misrepresent your affiliation with 3rd Space Dating;

  • Submit false payment or purchaser information;

  • Circumvent product-license restrictions;

  • Resell or commercially exploit Supporter Badges contrary to their license;

  • Use Supporter Badges to mislead others concerning your relationship with 3rd Space Dating; or

  • Assist another person in doing any of the foregoing.

3rd Space Dating may restrict access to the Website or refuse future transactions where reasonably necessary to address abuse, fraud, security threats, unlawful conduct, or material violations of these Terms.

21. Privacy

3rd Space Dating's collection, use, storage, and disclosure of personal information is governed by its applicable Privacy Policy and related privacy notices.

Depending on how a visitor uses the Website, information collected may include information submitted through forms, purchaser information, order information, communications, device information, and other information described in the Privacy Policy.

Third-party service providers may process information on behalf of 3rd Space Dating as necessary to provide services such as payment processing, website hosting, analytics, communications, security, and digital-product delivery.

Where applicable law provides consumers with rights regarding their personal information, those rights are not limited by these Terms.

22. Cookies and Similar Technologies

The Website may use cookies and similar technologies for purposes such as Website functionality, security, preferences, analytics, and other purposes described in the applicable Privacy Policy or cookie notice.

Certain technologies may be necessary for the Website to operate.

Optional analytics, advertising, or similar technologies, if used, will be handled in accordance with applicable consent and privacy requirements.

Third-party services embedded in or used through the Website may also use cookies or similar technologies according to their own practices.

23. Electronic and Transactional Communications

When you make a purchase, submit information, or contact 3rd Space Dating, you may receive electronic communications reasonably related to that transaction or request, such as:

  • Order confirmations;

  • Payment-related notices;

  • Digital-delivery messages;

  • Personalization questions;

  • Customer-support communications;

  • Refund communications; or

  • Important notices concerning the transaction.

Purchasing a Supporter Badge does not, by itself, require you to consent to unrelated promotional marketing emails where separate consent or another lawful basis is required.

Marketing communications, if sent, will be handled in accordance with applicable law and applicable unsubscribe or preference mechanisms.

24. Third-Party Services

The Website may rely on or link to third-party services, websites, platforms, payment processors, hosting providers, video platforms, social-media services, analytics providers, or other technology providers.

3rd Space Dating does not control every third-party service and is not responsible for third-party terms, privacy practices, availability, security, or content except to the extent liability cannot lawfully be excluded.

Your use of a third-party service may be governed by separate terms between you and that provider.

A link to or integration with a third-party service does not necessarily constitute an endorsement of that third party.

25. Website Availability and Changes

3rd Space Dating may modify, update, suspend, restrict, or discontinue portions of the Website as its business develops.

The Company does not guarantee that the Website will operate without interruptions, delays, errors, security incidents, or technical problems.

Planned or unplanned maintenance, third-party outages, security issues, technical changes, or circumstances beyond the Company's reasonable control may temporarily affect Website availability or product delivery.

Nothing in this section eliminates any obligation to provide a refund, replacement, delivery, or other remedy required by the applicable Returns, Refunds & Cancellation Policy or applicable law.

26. Accuracy of Website Information

3rd Space Dating makes reasonable efforts to provide accurate information but does not guarantee that all Website content will always be complete, current, or free from typographical or technical errors.

Product descriptions, pricing, availability, proposed app features, timelines, mockups, and other Website information may be corrected or updated.

Changes made after a completed purchase will not retroactively remove rights expressly included in that purchaser's completed transaction, except where a change is required by applicable law or agreed to by the purchaser.

27. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE WEBSITE AND GENERAL INFORMATION MADE AVAILABLE THROUGH THE WEBSITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

3rd Space Dating does not warrant that the Website will always be uninterrupted, error-free, secure, or available.

Except for express commitments contained in the applicable product listing, Supporter Badge Instructions & License Terms, Returns, Refunds & Cancellation Policy, or other written terms applicable to a purchase, 3rd Space Dating disclaims warranties to the extent such warranties may lawfully be disclaimed.

This section does not exclude any warranty, consumer protection, or remedy that cannot legally be excluded or waived.

28. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, 3rdSpaceDating LLC and its owners, officers, employees, contractors, representatives, and affiliates will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from the use of or inability to use the Website or a Supporter Badge, including loss of profits, loss of business opportunity, or loss of data, where such damages may lawfully be excluded.

To the maximum extent permitted by applicable law, the Company's aggregate liability arising directly from a particular Supporter Badge purchase will not exceed the amount actually paid to 3rd Space Dating for the purchase giving rise to the claim.

These limitations do not apply to liability that cannot legally be limited or excluded, including any liability for which applicable law prohibits contractual limitation.

Nothing in these Terms limits rights or remedies available under mandatory consumer-protection law.

29. Indemnification

To the extent permitted by applicable law, you agree to be responsible for losses, liabilities, claims, or reasonable expenses arising from your unlawful use of the Website, material violation of these Terms, infringement of another person's rights, fraudulent activity, or unauthorized commercial use of Company intellectual property.

This section does not require a consumer to indemnify 3rd Space Dating for the Company's own unlawful conduct or for liability that cannot lawfully be shifted to the consumer.

30. No Partnership, Agency or Ownership Relationship

Use of the Website or purchase of a Supporter Badge does not create a partnership, joint venture, fiduciary relationship, employment relationship, agency relationship, franchise, investment relationship, or ownership relationship between a purchaser and 3rd Space Dating.

Purchasers have no authority to make representations, commitments, agreements, or obligations on behalf of 3rd Space Dating.

31. Governing Law

These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Nothing in this choice-of-law provision deprives a consumer of a mandatory protection provided by law that cannot validly be waived through contract.

32. Disputes and Venue

To the extent permitted by applicable law, disputes arising from these Terms, the Website, or a Supporter Badge transaction may be brought in a court of competent jurisdiction located in Colorado, including an appropriate state court or federal court with jurisdiction.

Nothing in these Terms prevents either party from pursuing a claim in small claims court when the claim qualifies.

Nothing in this section limits any forum, remedy, or procedural right that applicable law does not permit the parties to waive.

These Terms do not contain a mandatory arbitration agreement or class-action waiver.

33. Changes to These Terms

3rd Space Dating may revise these Terms from time to time to reflect changes in its Website, products, business practices, or legal obligations.

When changes are made, the updated Terms will be posted with a revised effective date.

Unless otherwise required by law or expressly agreed to, changes will apply prospectively and will not retroactively remove material rights expressly included in a completed Supporter Badge purchase.

Continued use of the Website after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.

34. Suspension or Termination of Website Access

3rd Space Dating may suspend or terminate a person's access to some or all portions of the Website when reasonably necessary because of:

  • Fraud;

  • Security concerns;

  • Unlawful activity;

  • Abuse of the Website;

  • Intellectual-property violations;

  • Attempts to interfere with Website systems; or

  • Material violations of these Terms.

Termination of Website access does not automatically alter obligations associated with an already completed purchase, except where those rights are separately terminated under the applicable Supporter Badge license, refund terms, or law.

35. Severability

If any provision of these Terms is found invalid, unlawful, or unenforceable, that provision will be interpreted or limited to the minimum extent necessary to make it enforceable where legally permissible.

If it cannot be made enforceable, it will be severed from these Terms, and the remaining provisions will remain in effect to the extent permitted by law.

36. No Waiver

A failure by 3rd Space Dating to enforce a provision of these Terms on one occasion does not constitute a waiver of that provision or the right to enforce it later.

Any waiver must be expressly made by the party granting the waiver.

37. Assignment

You may not assign or transfer contractual rights arising from a Supporter Badge purchase where doing so would conflict with the non-transferable nature of the applicable Supporter Badge license.

3rd Space Dating may assign or transfer its rights or obligations as part of a merger, acquisition, reorganization, sale of assets, change in control, or other lawful business transaction, subject to applicable law.

No assignment may eliminate consumer rights that cannot lawfully be waived.

38. Entire Agreement and Related Policies

These Terms should be read together with the policies and transaction-specific terms applicable to the user's activity, including, where applicable:

  • The applicable Supporter Badge product listing;

  • The applicable Supporter Badge Instructions & License Terms;

  • The Returns, Refunds & Cancellation Policy;

  • The Privacy Policy; and

  • Any additional terms expressly presented and accepted in connection with a particular transaction.

Each document governs the subject matter it specifically addresses.

For example:

  • The applicable product listing and checkout information determine the specific product, contents, and price purchased;

  • The applicable Supporter Badge Instructions & License Terms govern the purchaser's license, permitted use, restrictions, and applicable personalization provisions;

  • The Returns, Refunds & Cancellation Policy governs cancellations, refunds, corrections, duplicate charges, and related remedies; and

  • These Terms govern general Website use and matters not specifically governed by those documents.

Where two provisions address the same issue and directly conflict, the more specific transaction-specific provision will control to the extent of that conflict, unless applicable law requires otherwise.

Together, the applicable documents constitute the agreement between the purchaser and 3rd Space Dating concerning the applicable transaction.

39. Mandatory Consumer Rights
